These Terms of Use (the "Terms") govern your access to and use of the Chaticon: Chatbot AI Assistant mobile application, the website chaticon.co, and all related services (collectively, the "Service"). By creating an account, downloading the application, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms.
TO CANCEL YOUR SUBSCRIPTION, USE YOUR APPLE APP STORE ACCOUNT SETTINGS AT LEAST 24 HOURS BEFORE THE END OF THE FREE TRIAL OR THE CURRENT BILLING PERIOD. IF YOU PURCHASED VIA THE WEBSITE (chaticon.co), EMAIL info@chaticon.co WITH THE SUBJECT "CANCEL MY SUBSCRIPTION" AND INCLUDE THE EMAIL ADDRESS ON YOUR ACCOUNT.
1.1. These Terms govern the relationship between Alvin AI Studio LLC, the company defined in Section 13 below (the "Company"), and you, the user ("you" or "User"). The Terms apply to your use of the Chaticon: Chatbot AI Assistant mobile application, website, and other services offered under the Chaticon: Chatbot AI Assistant brand.
1.2. By accessing or using the Service, you confirm that you are at least 13 years old, have the legal capacity (or parental consent, where required) to enter into binding agreements, and agree to these Terms in full. Certain features may require you to be 18 years of age or older.
1.3. We may revise these Terms at any time. Material changes will be communicated via in-app notification, email, or website banner. Your continued use of the Service after a revision constitutes acceptance of the revised Terms.
1.4. The Service is provided "as is" and "as available." Your use is subject to the disclaimers and limitations in Sections 2, 8, and 9.
2.1. Chaticon: Chatbot AI Assistant is a multi-model AI chat aggregator. The Service provides a unified interface to query large language models and image-generation models supplied by third-party AI providers (including but not limited to OpenAI, Anthropic, Google, X.AI, Perplexity, and image-generation providers). The Company does not create, train, or control the underlying AI models. Outputs are generated by the selected third-party model in response to your prompts.
2.2. AI-generated content may be inaccurate. AI responses may contain errors, hallucinations, outdated information, biased content, or material that does not reflect real-world facts. You must independently verify any information before relying on it. The Company is not responsible for the accuracy, completeness, or reliability of AI-generated outputs.
2.3. Not a substitute for professional services. Chaticon: Chatbot AI Assistant is not a healthcare provider, legal advisor, financial advisor, mental health service, medical device, or substitute for professional advice of any kind. The Service does not provide therapy, diagnosis, legal counsel, or financial recommendations. Do not rely on AI Companion responses for medical, legal, financial, safety-critical, or other professional decisions. If you are experiencing emotional distress or a medical emergency, please contact a qualified professional or local emergency services immediately.
2.4. Third-party model behavior. Each AI model has its own characteristics, limitations, content policies, and pricing applied by the underlying provider. The Company may, at its discretion, change, replace, or remove available AI models, model versions, or pricing, with or without notice.
2.5. User responsibility. You are responsible for the prompts you submit and for the use you make of AI-generated outputs. Your use of the Service is voluntary and at your own risk.
3.1. To use the Service, you must create an account by signing in with Apple or, where available, via email (magic link) or other supported sign-in methods.
3.2. You agree to provide accurate registration information and keep it current. You are responsible for all activity under your account.
3.3. You may delete your account at any time via the Service settings or by contacting info@chaticon.co. Account deletion is subject to legal retention obligations described in our Privacy Policy.
3.4. We reserve the right to suspend or terminate accounts that violate these Terms.
4.1. What Chaticon: Chatbot AI Assistant provides. Chaticon: Chatbot AI Assistant offers a mobile application and web entry funnel through which users can:
4.2. Free vs. Premium tier. Core chat functionality is available for free with daily usage limits expressed in gems (an in-app virtual unit consumed per AI request). Premium subscription unlocks higher daily allowances, premium features, and access to premium-tier models.
4.3. Gem economy.
4.4. Service modifications. We may modify, suspend, or discontinue any part of the Service, including specific AI models or features, at any time, with or without notice.
4.5. Service availability. We aim for high uptime but do not guarantee uninterrupted access. AI model availability depends on third-party providers.
5.1. Our intellectual property. The Chaticon: Chatbot AI Assistant brand, application design, software, user interface, and all related materials are owned by the Company or licensed to it. You may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written permission.
5.2. User-generated content. When you submit prompts, messages, or other content ("User Content") to the Service, you grant the Company a worldwide, royalty-free, sublicensable license to process, transmit, store, and otherwise use such content as necessary to provide the Service (including transmitting it to the selected third-party AI provider) and to operate, secure, and improve the Service.
5.3. AI outputs. As between you and the Company, you may use the AI-generated outputs you receive through the Service for your personal, lawful purposes, subject to (i) the underlying AI provider's content and usage policies, and (ii) Section 7 (Restrictions) below. The Company makes no representation that AI outputs are free from third-party claims or fit for any particular purpose.
5.4. Service improvement. Aggregated, anonymized prompt and response data may be used to improve the Service, route requests, monitor quality, and detect abuse. Aggregated and anonymized data does not constitute personal data under applicable data protection law.
5.5. Copyright Infringement (DMCA Notice and Takedown). If you believe that User Content or other material accessible through the Service infringes your copyright, you may submit a notice under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512). The notice must include:

We will respond to valid DMCA notices in accordance with applicable law, including removing or disabling access to the allegedly infringing material and, where appropriate, terminating accounts of repeat infringers.
Counter-Notice. If you believe your content was removed in error, you may submit a counter-notice in accordance with 17 U.S.C. § 512(g) by emailing info@chaticon.co (subject line: "DMCA Counter-Notice") with the required information.
False or bad-faith claims may result in legal liability.
6.1. Commercial roles of the parties. The Chaticon: Chatbot AI Assistant application and content are developed and technically maintained by the Company. Payment collection, billing, and subscription management are carried out by the Merchant of Record depending on the channel through which you access the Service (see Section 6.2 and Section 13).
6.2. Merchant of Record by channel.
(a) Apple App Store channel. For subscriptions and in-app purchases (including gem packs) made via the Apple App Store, the Merchant of Record is Apple Distribution International Ltd. (Hollyhill Industrial Estate, Hollyhill, Cork, Ireland). All payments, billing, and refunds are subject to Apple's terms and conditions. To cancel, use your Apple ID account settings on your device. For purchases made via the Apple App Store, you acknowledge and agree that these Terms are concluded between you and the Company only, and not with Apple Inc. or its subsidiaries. Apple Inc. and its subsidiaries shall be third-party beneficiaries of these Terms and shall have the right to enforce these Terms against you as such third-party beneficiaries upon your acceptance of these Terms.
(b) Website / web payment channel. For subscriptions or one-time gem purchases made via chaticon.co or related funnel/quiz pages, the Merchant of Record is Alvin AI Studio LLC (New York, USA — see Section 13). Payments are processed by Stripe, Inc. (or its affiliated entities, depending on your location) as our payment service provider.
6.3. Subscription model. Subscriptions auto-renew at the end of each billing period unless cancelled. The billing period and price are clearly shown at the time of purchase. Premium subscription includes a monthly gem allowance as described in the in-app paywall.
6.4. Free trial. If we offer a free trial, you will be charged at the end of the trial period unless you cancel at least 24 hours before the trial ends.

6.7. Saved Payment Method, One-Time Purchases and Upsells.
(a) Authorization to store and reuse your card. When you provide a payment card or other payment credential to start a subscription or to make any purchase via our website / web payment channel, you authorize the Company and our payment service providers (including Stripe, and where applicable our funnel / paywall providers) to securely store ("vault") your payment credential, and to charge the same stored credential for:
(b) One-click / accelerated checkout. Once you have a saved payment method on file, you may be presented with one-click or accelerated checkout flows for future purchases. Each such purchase will be clearly described before you confirm it, including the item description, the amount in your local currency, and the payment method that will be charged. By tapping "Confirm Purchase," "Buy Now," or any equivalent confirmation control, you authorize the charge to your saved payment method for that specific transaction.
(c) Upsells and post-purchase offers. You acknowledge that, from time to time, the Service may present discounted or limited-time offers ("upsells") after an initial purchase or during your use of the Service. Any such offer that results in a charge will require an affirmative confirmation action from you (tap, click, or equivalent) prior to charging your saved payment method. We will not charge your saved payment method for upsells or one-time purchases without such confirmation.
(d) Removing your saved payment method. You may request removal of your saved payment method at any time by contacting info@chaticon.co. Removal will prevent future charges via the website / Stripe channel. Subscriptions billed via the Apple App Store are managed separately under that platform's payment methods.
(e) Card network compliance. This authorization is provided to comply with applicable card network rules (Visa, Mastercard, American Express and similar) regarding stored credentials, cardholder-initiated transactions, and one-click purchases. You agree that this clause, together with your in-purchase confirmation actions, constitutes your express consent to such future charges within the scope described above.
6.8. EU 14-day right of withdrawal. Consumers in the European Union have the right to withdraw from a contract within 14 days of purchase without giving any reason, provided the service has not yet been fully performed. To exercise this right, contact info@chaticon.co within 14 days of purchase. Note: by purchasing access to digital content (including gem packs) and beginning to use the Service or consuming gems, you may waive this right under applicable law.
6.9. Taxes. Prices may include or exclude applicable taxes (VAT, sales tax, etc.) depending on your jurisdiction and the channel.

7.3. You must also comply with the content policies of the underlying AI providers (OpenAI, Anthropic, Google, X.AI, and others). Violation of those policies may result in your request being blocked or refused by the provider, and may also result in suspension or termination of your account on Chaticon: Chatbot AI Assistant.
7.4. Violations may result in immediate account suspension or termination without refund.
8.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
8.2. WE DO NOT WARRANT THAT (i) THE SERVICE WILL MEET YOUR NEEDS, (ii) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, (iii) ANY SPECIFIC AI MODEL WILL REMAIN AVAILABLE, (iv) AI-GENERATED CONTENT WILL BE FACTUALLY CORRECT OR CONSISTENT, OR (v) ANY THIRD-PARTY AI PROVIDER WILL PERFORM TO A PARTICULAR LEVEL.
8.3. These limitations apply only to the maximum extent permitted by applicable law and do not affect mandatory consumer protection rights.
9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR FROM AI-GENERATED OUTPUTS.
9.2. THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD 100), WHICHEVER IS LESS.
9.3. These limitations apply even if the Company has been advised of the possibility of such damages, and even if any remedy fails of its essential purpose.
9.4. Reliance on AI outputs. You acknowledge that AI-generated outputs may be inaccurate and that the Company shall not be liable for any decision, action, loss, or damage arising from your reliance on AI outputs delivered through the Service.
You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claim, damage, loss, or expense (including reasonable attorney fees) arising out of (i) your breach of these Terms, (ii) your User Content or prompts, (iii) your use of AI-generated outputs, or (iv) your violation of applicable law or third-party rights.
11.1. We process personal data in accordance with our Privacy Policy, available at chaticon.co/privacy, which is incorporated into these Terms by reference.
11.2. By using the Service, you consent to the data practices described in the Privacy Policy.
11.3. You have rights under applicable data protection law (such as the EU General Data Protection Regulation and the California Consumer Privacy Act / CPRA), including the right to access, rectify, delete, restrict, or object to the processing of your personal data. See the Privacy Policy for details.
12.1. Governing law. These Terms are governed by the laws of the State of New York, United States, without regard to conflicts of law principles.
12.2. Jurisdiction. You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts located in New York County, New York, and you hereby consent to the personal jurisdiction of such courts.
12.3. Informal resolution. Before filing any legal action, the parties agree to attempt to resolve disputes through good-faith negotiation.

14.1. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.2. Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior agreements or understandings.
